By accessing or using the services provided by While ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use our services.
While is an AI-first app development consultancy that provides product strategy, rapid prototyping, software development, security consulting, compliance infrastructure, and deployment services. Our services are delivered by North American-based teams using industry-leading AI tools and modern infrastructure platforms.
All consulting engagements are governed by a separate Statement of Work (SOW) or service agreement that outlines the specific scope, deliverables, timeline, and compensation. These Terms of Service apply in addition to any project-specific agreements.
Unless otherwise stated in a project agreement, all intellectual property created during an engagement shall be transferred to the client upon full payment. While retains the right to use general knowledge, skills, and experience gained during engagements, and may reference the engagement in marketing materials unless a non-disclosure agreement is in place.
We treat all client information, business strategies, and proprietary data as confidential. We will not disclose confidential information to third parties without your written consent, except as required by law. Confidentiality obligations survive the termination of any engagement.
Payment terms are specified in the applicable Statement of Work or service agreement. Unless otherwise agreed, invoices are due within 30 days of issuance. Late payments may be subject to interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
To the maximum extent permitted by law, While shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim.
We provide our services with reasonable care and skill. However, we do not warrant that our services will be uninterrupted, error-free, or that any specific results will be achieved. All services are provided "as is" without warranties of any kind, except as expressly stated in a project agreement.
Either party may terminate an engagement with 30 days written notice, unless otherwise specified in the project agreement. Upon termination, you are responsible for payment for all work completed up to the termination date. Provisions relating to confidentiality, intellectual property, and limitation of liability survive termination.
These Terms of Service shall be governed by and construed in accordance with the laws of the applicable jurisdiction in North America. Any disputes arising under these terms shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with a revised "Last updated" date. Continued use of our services after any modifications constitutes acceptance of the updated terms.
